Terms and Conditions

Captive Media (Browsebase Pty Ltd)

These Terms and Conditions (“Terms”) govern all services provided by Browsebase Pty Ltd trading as Captive Media (“Captive Media”, “we”, “us”, “our”) to any client (“Client”, “you”, “your”). By requesting a quote, accepting a proposal, paying a deposit, or instructing us to commence work, you agree to be bound by these Terms.

These Terms apply to all video production, photography, event filming, panel discussions, interviews, branded content, campaign development, post-production, and related creative services (the “Services”).

1. Services We will perform the Services with reasonable professional skill and care in accordance with the specific scope set out in the accepted written Proposal. Creative work is subjective, and final deliverables reflect artistic and strategic judgement based on the agreed brief.

2. Project Scope and Variations The scope is strictly limited to the deliverables, timelines, and creative direction in the accepted Proposal. Any additional work, changes in direction, extra shoot/editing days, new concepts, or extensions are variations and will be quoted separately and require your written approval before proceeding.

3. Proposals and Acceptance Proposals are valid for 30 days. Acceptance occurs when you confirm in writing, pay the deposit, or instruct us to start work. The Proposal + these Terms form the full agreement.

4. Review, Approval & Feedback Feedback must be consolidated and in writing. You must approve each stage before we proceed. Deemed Approval: If no feedback is received within 7–10 business days, the deliverable is deemed approved. Once approved, further changes are treated as variations.

5. Creative Subjectivity Differences in personal taste do not constitute a breach provided the work aligns with the agreed brief.

6. Revisions Unless stated otherwise in the Proposal, you receive up to two (2) rounds of minor revisions per final deliverable. Major changes or new concepts are out of scope.

7. Pricing, Payment & Cancellation

  • All prices are in AUD and exclusive of GST.

  • Standard terms: 50% deposit on acceptance, 50% balance within 14 days of final delivery.

  • Final files released only on full payment.

  • Late payments may incur interest/recovery costs.

Cancellation Policy:

  • More than 7 days before production: Deposit refundable less non-recoverable costs.

  • Within 7 days: Deposit non-refundable.

  • Within 48 hours or after production starts: Full fee may be payable.

8. Client Responsibilities You must provide timely materials, assets, approvals, access, and cooperation. You warrant that all supplied materials are properly licensed/owned. You are responsible for obtaining all talent/location releases and permissions.

9. Intellectual Property & Usage Rights

  • All footage, concepts, files, and deliverables remain our IP until full payment.

  • Upon full payment, you receive a non-exclusive perpetual licence for the uses specified in the Proposal.

  • We may use short excerpts (1–3 seconds) for portfolio/promotional purposes.

  • Raw footage supplied only if purchased as an add-on.

10. Confidentiality, File Retention & Delivery We keep files for 30 days after completion. After that we may delete them. We are not responsible for third-party platform compatibility.

11. Project Completion & Abandonment The project is complete upon delivery and approval (or deemed approval). If you become unresponsive for >60 days, the project may be deemed abandoned and outstanding invoices immediately due.

12. Force Majeure, Liability & Indemnity (Keep your existing strong clauses 13–16 as they are — they are excellent.)

13. General Provisions

  • Governed by the laws of Victoria, Australia.

  • These Terms + Proposal = entire agreement.

  • We may update these Terms (continued engagement = acceptance).
